1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the Mitros website (“Website”) and any services, quotes, proposals or projects delivered by Mitros (“we”, “us”, “our”). By accessing the Website, requesting a quote, or engaging Mitros for any work, you agree to be bound by these Terms in full. If you do not accept these Terms, please do not use the Website or our services.

2. About Mitros

Mitros is an Irish renewable-energy engineering company delivering commercial energy infrastructure, solar photovoltaic (PV) installations, battery energy storage systems (BESS), grid infrastructure, specialist engineering, operations and maintenance, and residential power systems across the island of Ireland. 3. Use of the Website

You may use the Website for lawful purposes only. You agree not to:

  • Use the Website in any way that breaches applicable Irish or European Union law;
  • Transmit any harmful code, viruses, trojans or other malicious content;
  • Attempt to gain unauthorised access to the Website, servers, or any related systems;
  • Scrape, harvest, crawl, copy or systematically extract Website content without our prior written consent;
  • Misrepresent your identity, contact information, organisation, or intent when completing forms, quote requests or enquiries.

4. Intellectual Property

All Website content — including text, graphics, photographs, drawings, logos, trademarks, software, source code and design — is the property of Mitros or its licensors and is protected by Irish, EU and international copyright, trademark and intellectual-property laws. You may not reproduce, distribute, publicly display, modify, or create derivative works from any Website content without our prior written permission, except for personal, non-commercial viewing of the Website.

5. Quotes, Proposals and Contracts

Any quote, proposal or estimate issued by Mitros constitutes an invitation to enter into a binding agreement, not an offer. A contract between you and Mitros is formed only when (i) you have formally accepted a written Mitros quotation, and (ii) Mitros has confirmed acceptance in writing. Quotes are valid for the period stated on the quotation document (typically 30 days) and are conditional on site survey, structural assessment, planning approvals, grid connection acceptance and any other prerequisites that may apply to your project.

6. Service Delivery and Specifications

The scope of work, design specifications, programme, milestones, materials, warranties, and acceptance criteria for any project delivered by Mitros are defined in the relevant signed contract, which may incorporate FIDIC, NEC, IEC, Engineers Ireland or Mitros bespoke terms. Where any conflict arises between these Website Terms and a signed project contract, the project contract prevails.

Mitros reserves the right to substitute components or materials of equivalent or higher specification where supply, manufacturer lead times, or technical considerations require. Substantive substitutions will be communicated to the client in advance.

7. Payment Terms

Unless otherwise agreed in writing, payment terms are as follows: a deposit invoice is issued on contract signature; staged payments are invoiced at procurement, mobilisation and commissioning milestones; and any retention is released on satisfactory completion and handover. All invoices are payable within the period stated on the invoice. Late payments accrue statutory interest in accordance with the European Communities (Late Payment in Commercial Transactions) Regulations.

8. Warranties and Limitation of Liability

Mitros warrants that all work will be carried out in a workmanlike manner, by suitably qualified personnel, and in compliance with applicable Irish standards, manufacturer instructions, and ETCI/Safe Electric rules. Manufacturer warranties pass through to the client per the relevant component datasheet.

To the maximum extent permitted by Irish law:

  • Mitros makes no warranty that the Website will be uninterrupted, error-free, secure, or virus-free;
  • Mitros accepts no liability for indirect, incidental, consequential or special loss arising from use of the Website, including (but not limited to) loss of profit, revenue, business opportunity, or data;
  • Mitros’s aggregate liability arising from or in connection with a project shall not exceed the contract value of that project, save where prohibited by law;
  • Nothing in these Terms limits Mitros’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

9. Cancellation, Variation and Force Majeure

Either party may terminate or vary a contract in accordance with its written terms. Cancellation by the client after work has commenced may incur charges to cover work performed, materials procured, and reasonable commitments made by Mitros in good-faith reliance on the contract.

Neither party shall be liable for delay or failure in performance caused by events outside reasonable control, including but not limited to grid connection delays, supply-chain disruption, severe weather, industrial action, regulatory change, or government-mandated restrictions.

10. Data Protection and Privacy

Personal data collected via the Website, forms or any service interaction is processed in accordance with our Privacy Policy, which forms part of these Terms.

11. Third-Party Links and Content

The Website may contain links to third-party websites, services or resources for convenience and reference. Mitros does not control, endorse, or take responsibility for such third-party content. Accessing third-party content is at your own risk and may be subject to that third party’s own terms and policies.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Ireland. Any dispute, controversy or claim arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Ireland.

13. Changes to These Terms

Mitros may update these Terms from time to time to reflect changes in our services, law, or industry practice. The current version is always available on the Website with the “last updated” date below. Continued use of the Website after changes are published constitutes acceptance of the revised Terms.
